Iconix Brand Group Acquisition

New York, NY: (Oct-15-07) The Antitrust Division of the Department of Justice (DOJ) brought charges against Iconix Brand Group, Inc., over the company's Hart-Scott-Rodino filing for the Rocawear acquisition, which closed on March 30, 2007. The suit claimed that Iconix did not fully comply with the filing requirements, and violated certain federal procedures that were required to be filed pursuant to the Hart-Scott-Rodino Antitrust Improvements act of 1976.

As part of a settlement reached, Iconix agreed to pay the government $550,000 resolving of the matter. Sources stated that the settlement places no restrictions on any future Iconix acquisitions or required Iconix HSR Act filings. Iconix agreed to the settlement in order to escape the costs and risks associated with litigation. [CNN NEWS: ACQUISITION FILING]
