WACHOVIA CORPORATION EMPLOYEE SAVINGS AND 401(K) PLANS

Wachovia Corporation ("Wachovia" or the "Company") (NYSE: WB) has announced lower than expected earnings for the year 2007 and write downs of $600 million related to losses from securities backed by commercial mortgages. Wachovia and other administrators of the Wachovia Employee Savings or 401(k) Plans (the "Plans") may have breached their ERISA-mandated fiduciary duties of loyalty and prudence to participants and beneficiaries of the Plans. A breach may have occurred if the fiduciaries failed to manage the assets of the Plans prudently and loyally by investing the assets in Company stock when it was no longer a prudent investment for participants' retirement savings.
